This Membership Services Agreement (the “Agreement”) begins upon purchase of Membership Services at the tier You have selected and as described on https://keap.com/pro-services (“Membership Services”), and is made between Keap (“Keap or Us”) and You.
This Agreement is in addition to the Keap online Terms of Service (https://keap.com/legal/terms-of-service) and the Keap Services Agreement (https://keap.com/legal/keap-professional-services-agreement) that already apply to and govern Your use of Keap Membership Services defined as “Professional Services” in those Terms of Service, and defined as “Keap Services” or “Professional Services” in those Keap Services Agreement. To the extent that there is a conflict between those Agreements and this Agreement, this Agreement will apply. Capitalized terms used in this Agreement, not already defined in the Terms of Service (https://keap.com/legal/terms-of-service) and the Keap Services Agreement (https://keap.com/legal/keap-professional-services-agreement) shall have the meanings assigned to them in the applicable Keap Service offer or Service Terms if applicable.
Included with Your Membership Service:
Your Membership Service is a tiered recurring monthly membership that automatically renews for additional terms (the “Membership Period”). This Agreement applies to all Membership tiers, which include the following:

Definitions:
- Strategy Manager: Your Strategy Manager is a strategy and implementation specialist who will work with You one-on-one during regularly scheduled Strategy Calls.
- Strategy Calls: Strategy Calls are designed to help You identify areas of opportunity, develop Your business automation strategy, and work toward achieving Your goals.
- Premium Support: Premium Support is accessible from within Your application, and provides priority assistance from a dedicated team of skilled technicians.
- Elevate Group Coaching: Elevate Group Coaching consists of weekly meetings with a group of fellow Keap users as a Keap expert walks You step-by-step through the process of designing, building, and launching an automation to help You achieve that goal. Each month will target a new business growth topic.
- Mastermind Group: The Keap Mastermind, facilitated by a Keap Strategy Manager, is composed of fellow business owners and leaders. Together You’ll brainstorm, discover new ideas, and stay accountable to taking the action needed to move Your business forward.
- Done-for-You Business Automation Requests:
- Done-for-You requests include: automation build-out, dashboard reporting, referral partner setup, and similar services as offered by Keap from time to time (“Keap Services”).
- A list of included automations, supported third-party plugins and limitations can be found here (https://keap.com/platinum-membership). Please note, Done-for-You requests exclude custom copywriting and design, custom coding, API work, and similar requests.
- Custom requests are included with select tiers of Platinum, and are subject to Keap’s review and acceptance of the Done-for-You request. Until Your request is accepted, Keap is not obligated to perform the requested Keap Service(s).
- List Cleaning: Keap uses third-party programs to help identify invalid, malicious or otherwise harmful email addresses on Your list of contacts.
- In order to use these programs, You will contract directly with the third-party and must accept their Terms of Service and Privacy Policy, which will be presented to You prior to fulfillment.
Keap’s Responsibilities:
- Your Done-for-You requests are limited by the tier of Membership You have selected. Keap will work on only one active Done-for-You request at a time, in the order prioritized by You. Keap will complete the number of Done-for-You services purchased under Your Membership tier or the number of Done-for-You services that can be completed during the Membership Period. At the end of Your Membership Period Keap will cease work on Your Done-for-You requests.
- Keap warrants Membership Services for thirty (30) days and will make every effort to fulfill Membership Services consistent with the professional service standards in our industry as further described in the Terms of Service (https://keap.com/legal/terms-of-service).
- An estimated time-to-completion will be provided by Keap for each request prior to starting work on the request. Keap reserves the right to make modifications to the time to completion and will update You on the progress of Your request until completed.
- Membership Services will not be provided on an emergency basis. Keap will endeavor to respond to all Membership Services requests within two to three business-days; Keap’s Services Team is only available during Keap’s standard business hours. Our ability to complete Keap Services depends on Your advance preparation of all content You plan to use in connection with the request.
- Keap’s use of Your data will be governed by our privacy policy at https://keap.com/legal/privacy-policy.
Your Responsibilities:
You understand and accept that:
- Membership Services are non-cancellable and all fees for Membership Services are non-refundable.
- You may prevent the automatic renewal of Your Membership Services for additional terms by contacting Your Strategy Manager directly or by calling Support at +1 866-800-0004 at least thirty (30) days prior to Your next renewal date.
- Keap reserves the right to terminate your Membership Service for cause, including violating our Acceptable Use Policy https://www.keap.com/legal/aup. For Gold and Platinum tiers, if You are not meeting your obligations under this Agreement such as not communicating with Your Growth Strategy Manager, Keap will proactively cancel your Membership Service. Keap will provide notice of the pending cancellation and for the next full month of your Membership Period, Keap will continue to attempt to communicate to You. At the end of that Membership Period, Your Membership Service will be cancelled. No credits or refunds are available for unused Membership Services.
- Keap is not responsible for retaining copies of, or access to, content built within or without Your Keap application as part of the Membership Services upon non-renewal of Your Membership Services or Your Keap application. You are responsible for ensuring You have copies of all relevant content and/or data that You would like to retain.
- Should You be in default of payment of Membership Services, at 1 day past due You, and all associated users, will lose access to the Membership Services; all work in progress will be paused and any appointments on the calendar will be cancelled until full payment is received. After receipt of payment, access will be restored, your work will be added back to the fulfillment queue, and Your appointments will be rescheduled.
- Where the timeline is not met due to failure to make payment on the due date, your Membership Period shall not be extended and credit shall not be offered for time missed.
- We cannot guarantee fulfilling on the same previous timeline, or rescheduling appointments for the same date and time, with Membership Services if there is undue delay due to non-payment. You may be reassigned to another GSM if Keap’s capacity or availability has changed in the interim.
- You understand and agree that Keap makes no guarantees or warranty regarding increases in Your revenue or any other results; results will vary. Once Keap’s Membership Services are delivered, Keap is not responsible for updating or altering Your Services to operate with future changes to Your Keap application, or any third-party tools that You are using today, or to account for third-party tools added after the Membership Services are delivered.
- To realize the full value of Membership Services, Your participation and effort are needed, including but not limited to necessary access, resources, and other assets. Depending on Your skill set and available time, You may be required to use additional resources to plan and implement marketing automations, create content and support the interactions of the Membership Services with Your other sales and marketing tools. You are expected to apply Your expert knowledge of Your specific business in using Membership Services and by implementing any specific deliverables of Membership Services You agree that You are accepting any resulting risks.
- It is Your responsibility to ensure that You are using the Membership Services that You are paying for, including scheduling and attending any calls or coaching sessions and using credits for Membership Services to the extent available to You. If the Membership Services provided are not complete at the end of the Delivery Period due to Your failure to make Yourself, Your Users, or the necessary resources available to us or to otherwise fail to perform Your obligations, such Professional Services will be deemed to be complete at the end of the Membership Period. No credits or refunds are available for unused Membership Services.
- You have up to 5 business days to review delivered Membership Services and request edits. Keap’s obligations to perform edits are limited to those required to fulfill Keap’s obligations under this Agreement. If You do not request edits within 5 business days, the Membership Services provided shall be deemed to be completed.
- You understand that You should not be editing content that is under construction by Keap, and You understand that any such alteration could increase the time and work required to fulfill on the Membership Service or could alter the intended impact of what was built, which could result in additional time or costs to You to fulfill on the Membership Service. Any changes made by You or Your Team that cause the delivered Membership Services to not operate as they did upon delivery does not obligate Keap to re-perform said Membership Services.
