Keap offers a range of services, including one-time or recurring services, onboarding, implementation, training and any additional services provided by Keap (collectively “Keap Services” or “Professional Services”). This Services Agreement (the “Agreement”) begins upon purchase of any of Keap’s Services and is made between Thryv, Inc, d/b/a Keap (“Keap”, “Us”, “Our”) and you (“You” or “Your”). The Keap Service deliverables and timelines are as specified at the point of purchase.
This Agreement is in addition to the Keap online Terms of Service (https://keap.com/legal/terms-of-service) that already apply to and govern Your use of Keap Services defined therein as “Professional Services” in those Terms of Service. To the extent that there is a conflict between those Terms of Service and this Agreement, this Agreement will apply. Capitalized terms used in this Agreement, not already defined in the Terms of Service (https://keap.com/legal/terms-of-service) shall have the meanings assigned to them in the applicable Keap Service offer or Service Terms if applicable.
Keap’s Professional Services Responsibilities:
- Keap warrants Keap Services for 30 days and will make every effort to fulfill Keap Services consistent with the professional service standards in our industry as further described in the Terms of Service (https://keap.com/legal/terms-of-service).
- Where Your Keap Service includes implementation, Keap will work on one active request at a time, in the order prioritized by You. If Your Keap Service includes unlimited implementation within the Delivery Period, as defined below, Keap will complete as many requests as possible during the Delivery Period. After the Delivery Period, Keap will cease working on all requests.
- An estimated time-to-completion will be provided by Keap for each request prior to starting work on the request. Keap reserves the right to make modifications to the time to completion and will update You on the progress of Your request until completed.
- Custom requests are subject to Keap’s review and acceptance of the request. Until Your request is accepted, Keap is not obligated to perform the requested Keap Service(s).
- Keap Services will not be provided on an emergency basis. Keap will endeavor to respond to all Keap Service requests within two to three business-days; Keap’s Services Team is only available during Keap’s standard business hours. Our ability to complete Keap Services depends on Your advance preparation of all content You plan to use in connection with the request.
- Keap’s use of Your data will be governed by our privacy policy at https://keap.com/legal/privacy-policy.
Your Responsibilities:
You understand and accept that:
- Keap Services are non-cancellable and all fees for Keap Services are non-refundable. If Your Keap Service is recurring and you would like to prevent the automatic renewal of Your Keap Service for additional terms, please contact your assigned Keap Service representative or Keap’s Support Team at +1 866-800-0004 at least thirty (30) days prior to Your next renewal date.
- You understand and agree that Keap makes no guarantees or warranty regarding increases in Your revenue or any other results; results will vary.
- To realize the full value of Keap’s Services, Your participation and effort are needed, including but not limited to providing necessary access, resources, and other assets. Depending on Your skill set and available time, You may be required to use additional resources to plan and implement marketing automations, create content and support the interactions of the Keap Services with Your other sales and marketing tools. You are expected to apply Your expert knowledge of Your specific business in using Keap’s Professional Services and by implementing any specific deliverables of Keap Services You agree that You are accepting any resulting risks.
- Keap Service Delivery Periods and Expiration Periods are specified in the Keap Service offer or Keap Service Terms if applicable. If there is no Expiration Period or Delivery Period indicated, then it will be sixty (60) days after purchase. If the Keap Services provided are not complete at the end of the Delivery Period due to Your failure to make Yourself, Your Users, or the necessary resources available to us or to otherwise fail to perform Your obligations, such Keap Services will be deemed to be complete at the end of the Delivery Period. No credits or refunds are available for unused Keap Services.
- It is Your responsibility to ensure that You are using the Keap Services that You are paying for, including scheduling and attending any calls or coaching sessions and using credits for Keap Services to the extent available to You.
- You have up to 5 business days to review delivered Keap Services and request edits unless otherwise specified. Keap’s obligations to perform edits are limited to those required to fulfill Keap’s obligations under this Agreement. If You do not request edits within 5 business days, the Keap Services provided shall be deemed to be completed.
- You understand that Keap might provide some or all elements of the Keap Services through third party service providers.
- You understand that You should not be editing content that is under construction by Keap, and You understand that any such alteration could increase the time and work required to fulfill on the Keap Service or could alter the intended impact of what was built, which could result in additional time or costs to You to allow Keap to fulfill on the Keap Service.
