Keap Pay Processing Agreement

This Payment Processing Agreement, effective as of the date you elect to use Keap Pay ("Effective Date"), is entered into by and between Infusion Software, Inc., d/b/a Keap (the "Platform" “Keap” “We”, “Us” or “Our"), and You, a Keap customer or representative of a Keap customer (“You” or “Your”) ("Merchant") and together with our Terms of Service [link] (the “Agreement”) applies to your use of Keap Pay (the “Processing Services”).

1. Processing Services. In addition to our hosted software as a service (SaaS) solutions and any other related services that We may provide to You ("Services"), Platform offers embedded payments processing services, which includes credit card, debit card, ACH, and other payment processing services, as may be offered from time-to-time (collectively the “Processing Services”).
2. Fees and Taxes. Related to the Processing Services, Platform will charge Merchant according to the fees listed below (“Processing Fees”). All Processing Fees payable under this Agreement are exclusive of taxes. Platform may increase Processing Fees upon 30 days’ notice.

   ACH Processing Fees - Applies to all ACH payments and refunds
   ACH Volume Rate	1% up to %10
   ACH Transaction Per item Fee	$0.30
   Payout Fees
   Standard ACH Payout (Per batch)	$0.50
   Additional Fees
   Account Updater	$0.50
   Card/ACH Refund	$0.30
   ACH Return	$15.00
   Chargeback (Card or ACH Dispute)	$15.00

3. Processing Terms and Conditions. By using the Processing Services, Merchant agrees to the Processing Terms and Conditions available at https://legal.rainforestpay.com/processingterms, which may be amended at any time on notice. Commented [B1]: Revise to posting date
4. Term. The term of the Payment Processing Agreement begins on the Effective Date and continues until terminated by either party.
